Terms of Service

1. The Service

Select Folio is a macOS desktop application for eBay sellers. It provides tools for creating, saving, searching and duplicating listing information, managing HTML descriptions and Item Specifics, publishing and revising eBay listings, keeping Sold history, and related listing-management functions.

An internet connection and a valid eBay seller account are required to use eBay-connected Select Folio functions.

2. Eligibility and territory

You must be at least 18 years old and legally capable of entering into a binding agreement. You must also have authority to use any eBay account that you connect to Select Folio.

Select Folio currently does not offer free trials, paid subscriptions, or license activation to customers in the European Economic Area (EEA), the United Kingdom, or mainland China. You may not intentionally circumvent these geographic restrictions by using a VPN or other means.

3. License

A valid Select Folio license is required to use paid features. The license is provided to the individual or business that starts the trial or paid subscription and is for that subscriber's use.

License codes and device-authentication credentials may not be sold, transferred, rented, lent, or shared with another person or business. If you change Macs, you may use the available deactivation and reactivation process, subject to the device limits shown at purchase or in the Service.

4. Free trial

Select Folio offers a 14-day free trial. The trial begins when trial registration is completed, not when the application is first downloaded or opened.

The free trial is limited to one trial per individual or business. Duplicate or abusive trial use is prohibited. If we determine that a trial is a duplicate or has been obtained improperly, we may end the trial and disable the associated trial license.

Unless you cancel before the trial ends, the subscription automatically converts to a paid subscription at US$10 per month, plus any applicable taxes, and continues to renew monthly until canceled.

5. Fees, taxes and payment

Unless otherwise stated at the time of purchase, Select Folio costs US$10 per month. Taxes may be added based on your location and other applicable rules.

Payments are processed through Stripe Managed Payments. For eligible Managed Payments transactions, Stripe acts as the merchant of record and handles payment processing, recurring billing, applicable transaction taxes, payment-related customer support, chargebacks, refunds, and related payment functions. Select Folio does not store your credit-card number.

Your card issuer, bank, or other financial institution may charge currency-conversion, foreign-transaction, or other fees. Those charges are not fees charged by Select Folio.

6. Failed payments

If a payment fails because of an expired card, declined transaction, or another payment issue, retry attempts and payment-method updates are handled through Stripe's payment systems.

Paid features may be suspended when Stripe Managed Payments no longer shows an active entitlement to the paid subscription. Local data that is already stored on your Mac remains subject to the read-only access described in Section 9.

7. Automatic renewal and price changes

Paid subscriptions renew monthly until canceled. To prevent the next renewal, you must cancel before the next renewal date.

If the subscription price changes, we will provide advance notice before the new price applies, including any notice required by applicable law or payment-network rules. If you do not wish to continue at the new price, you may cancel before the next renewal. We will not retroactively change the price of a subscription period that has already been paid.

8. Cancellation

You may cancel at any time to stop the next automatic renewal. If you cancel during the free trial, no monthly subscription fee will be charged.

If you cancel a paid subscription, paid features remain available until the end of the subscription period that you have already paid for. Cancellation does not normally create a prorated refund for the unused portion of that period, subject to Section 10 and applicable law.

9. Local data after a subscription ends

After a paid subscription ends, data that you have already stored on your own Mac, including your Listing Library and Sold history, remains available for read-only viewing in a compatible version of Select Folio and a compatible operating environment.

New saving, editing, eBay listing or revision actions, eBay API features, and other paid functions are unavailable without an active paid entitlement.

Select Folio does not delete locally stored data solely because your subscription ends. This does not guarantee that every future version of macOS or other future environment will remain compatible indefinitely.

10. Refunds

Because Select Folio is digital software, fees already paid are generally non-refundable.

This does not apply where a refund is required by applicable law or where Stripe Managed Payments issues a refund under its applicable rules or procedures.

If we voluntarily provide a refund in a particular situation, that does not create an obligation to provide the same refund in future cases.

11. Your data and content

Rights in product information, images, HTML, descriptions, and other content that you store in Select Folio remain with you or their respective lawful owners. Select Folio does not acquire ownership of your content.

You are responsible for ensuring that you have the rights and authority needed to store, use, and send your content to eBay. Select Folio processes that content only as needed to provide the functions you request.

12. Final review of listings

You are responsible for reviewing the information you send to eBay before creating or revising a listing. This includes titles, prices, quantities, descriptions, condition information, categories, Item Specifics, Business Policies, images, and other listing data.

Select Folio is a tool for sending the information you instruct it to send. We do not guarantee the authenticity, legality, accuracy, pricing, or suitability of the products that you sell.

13. eBay decisions and account actions

eBay may remove or restrict listings, change visibility or search placement, impose fees or selling limits, restrict or suspend accounts, or take other action under its own policies and decisions. Select Folio cannot control or guarantee those decisions.

Use of Select Folio does not guarantee that eBay will approve a listing, permit a sale, or refrain from restricting an account.

14. Backups

You are responsible for maintaining appropriate backups of important local data, including your Listing Library, images, and Sold history.

We take reasonable care in the handling of data, but cannot guarantee complete recovery of data lost because of Mac failure, storage failure, user deletion, operating-system problems, or other circumstances beyond our reasonable control.

Personal information is handled as described in the Select Folio Privacy Policy.

15. eBay connectivity and changes

Select Folio connects to a user's own eBay account using eBay OAuth and other permitted eBay mechanisms. Changes to eBay APIs, websites, authentication methods, policies, or other eBay systems may require us to modify, temporarily suspend, or discontinue affected features.

Where reasonably possible, we will attempt to update Select Folio to accommodate changes to services on which it depends.

16. eBay API terms

Your use of eBay APIs and eBay Content through Select Folio is subject to the applicable eBay Developers Program Terms of Use and API License Agreement and other applicable eBay policies.

By using eBay-connected functions, you agree to be bound by the applicable eBay API License Agreement in connection with your use of eBay APIs and eBay Content through Select Folio.

Any sublicense or right provided through Select Folio to display eBay Content is revocable at any time. eBay is a third-party beneficiary of the provisions of these Terms relating to eBay APIs, eBay Content, and eBay-connected use, and may enforce those provisions as permitted by the applicable eBay developer terms and applicable law.

Access to eBay APIs, eBay Content, or other eBay-connected features may be withdrawn, limited, suspended, or terminated by eBay. If that occurs, affected Select Folio functions may also become unavailable.

17. Relationship with eBay

Select Folio is an independently provided product and is not affiliated with, provided, operated, guaranteed, certified, or endorsed by eBay. eBay and related names and trademarks belong to their respective owners.

18. Prohibited conduct

You may not use Select Folio to:

1. violate applicable law or the terms of eBay or another third-party service;
2. use another person's account without authorization;
3. share, sell, rent, transfer, or improperly distribute license or device-authentication credentials;
4. obtain multiple free trials for the same individual or business;
5. circumvent Select Folio authentication, licensing, paid-access, or geographic restrictions;
6. compromise or attempt to compromise Select Folio security;
7. intentionally impose an unreasonable load on Select Folio or related systems;
8. use content that infringes another person's copyright, trademark, or other rights; or
9. use Select Folio for unlawful conduct that causes harm to us or another person.

19. Software license and ownership

Paying for Select Folio does not transfer ownership of the software. During an active free trial or paid subscription, you receive a limited, non-exclusive, non-transferable right to use Select Folio in accordance with these Terms.

Read-only access to local data after the subscription ends is governed by Section 9. The Select Folio software, interface design, logos, and other intellectual property are owned by the operator of Select Folio or their respective lawful owners.

20. Analysis and circumvention

Except to the extent permitted by applicable law or where a right cannot legally be restricted by agreement, you may not reverse engineer, decompile, disassemble, modify, or otherwise attempt to derive the source code of Select Folio, or bypass license authentication, paid-access controls, or other protective mechanisms.

You may not modify the software for the purpose of using paid functions without a valid entitlement.

21. Select Folio templates and materials

HTML templates, designs, logos, and other materials supplied by Select Folio may be used as part of your own eBay listing workflow. They may not be sold, redistributed, separately licensed, or incorporated into a competing or third-party service unless we expressly permit it.

22. Third-party claims related to your products or content

If a dispute with a third party arises from products you sell, images, descriptions, trademarks, copyrighted material, or other content that you provide, you are generally responsible for resolving that dispute.

Unless the claim results from Select Folio's own conduct, Select Folio does not become the seller of your merchandise or assume responsibility for claims caused by the merchandise or content you provide.

23. Feedback

If you voluntarily provide feature ideas, suggestions, or other feedback, we may use that feedback to develop or improve Select Folio without an obligation to compensate you. This does not give us a right to publicly disclose your personal information or confidential information.

24. Not accounting, tax, or legal advice

Sales, fees, refunds, earnings, and other amounts shown in Select Folio are provided for listing management and reference purposes. Select Folio does not provide accounting, tax, or legal advice.

For tax filings, accounting, or other official purposes, you should verify information using official records from eBay, Stripe, your financial institutions, or other appropriate sources.

25. Updates and changes to the Service

We may update or change Select Folio for feature improvements, bug fixes, security, compatibility with macOS, changes to eBay APIs, and other reasonable operational reasons. Some updates may be necessary to continue using online or eBay-connected functions.

Where a change materially reduces core functionality or otherwise materially disadvantages users, we will provide reasonable advance notice where reasonably practicable and where required by applicable law. Changes to these Terms are governed by Section 32.

26. Temporary suspension

We may temporarily suspend all or part of the Service for maintenance, security issues, failures, or other circumstances that make continued operation unsafe or impractical. Where practical, we will provide reasonable notice.

This section does not limit any rights or remedies that cannot be excluded under applicable law.

27. Force majeure

Select Folio may be delayed or unavailable because of events beyond our reasonable control, including earthquakes, tsunamis, typhoons, floods, fires, other natural disasters, power failures, network or internet outages, large-scale cyberattacks, war, civil unrest, government action, or major failures or suspensions of eBay, Stripe, Cloudflare, or other third-party services.

To the extent permitted by applicable law, Select Folio is not liable for delay or non-performance caused by such events beyond our reasonable control.

28. Suspension or termination for misuse

We may suspend or terminate access if you materially violate these Terms, misuse trials or licenses, engage in payment fraud, compromise security, or otherwise materially interfere with safe operation of the Service.

Unless urgent action is reasonably necessary, we will try to provide notice of the reason and an opportunity to correct the issue. Section 9 governs read-only access to eligible local data after a subscription ends.

29. No guarantee of business results

We provide Select Folio with reasonable care, but do not guarantee that products will sell, that sales or profit will increase, that eBay or another third-party service will remain unchanged, that every Mac configuration will be free of defects, or that internet or third-party services will always be available.

30. Limitation of liability

Where our liability arises from ordinary negligence, and not from intentional misconduct or gross negligence, and to the extent permitted by applicable law, our liability for indirect, incidental, consequential, or similar damages arising from the use of or inability to use the Service is limited as permitted by law.

In cases of ordinary negligence where liability may legally be limited, our aggregate liability relating to the Service will not exceed the total fees actually paid by the affected user for Select Folio during the 12 months immediately preceding the event giving rise to the claim.

If the affected user has not paid any fees, this monetary cap does not apply and any liability will be determined under applicable law.

These limitations do not apply to loss or damage caused by our intentional misconduct or gross negligence, or to any liability that cannot lawfully be excluded or limited.

31. Third-party services

Select Folio relies on services provided by third parties, including eBay, Stripe, and Cloudflare. We do not fully control their availability, specifications, outages, policies, or future changes. Their own terms and privacy policies may also apply.

32. Changes to these Terms

We may change these Terms when laws, Select Folio functions, pricing, third-party services, or other relevant circumstances change.

Any change to these Terms will be made in accordance with applicable law. Where required, changes will be limited to those that are reasonable in light of the purpose of the agreement, the necessity of the change, its effect on users, and other relevant circumstances.

When we change these Terms, we will make the updated Terms and their effective date available through the Select Folio website or the Service and will provide reasonable advance notice where required by applicable law or where a change materially affects users.

33. Severability

If any provision of these Terms is held invalid or unenforceable under applicable law, the remaining provisions remain in effect to the extent legally possible.

34. No waiver

If we do not immediately exercise a right under these Terms, that does not mean we permanently waive that right.

35. Assignment

You may not transfer your contractual position or rights under these Terms to another person without our prior consent, except where applicable law provides otherwise.

36. Relationship among legal documents

These Terms, the Privacy Policy, the Legal Notice (Japan), any disclosures required by applicable law, and specific conditions shown at purchase together form the applicable terms governing Select Folio and the transaction.

If provisions conflict, the more specific transaction terms apply to that transaction to the extent permitted by applicable law.

37. Survival

Provisions that by their nature should continue after a subscription or these Terms end, including provisions concerning intellectual property, user content, liability, disputes, and other continuing obligations, remain effective to the extent necessary.

38. Governing law

These Terms are governed by the laws of Japan. Nothing in these Terms is intended to improperly restrict rights that cannot be waived under mandatory laws applicable to a user.
